1. Acceptance of Terms

By accessing or using Structyl AI's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.

"Services" includes our GPU transcription service, AI chatbot (RAG) service, WhatsApp bridge service, APIs, and any associated websites or applications.

2. Description of Services

2.1 GPU Transcription

We provide audio-to-text transcription using Whisper models running on local GPU hardware. Transcription accuracy varies based on audio quality, language, and content.

2.2 AI Chatbot (RAG)

We provide retrieval-augmented generation chatbots that answer questions based on your website content. Responses are AI-generated and may not always be accurate or complete.

2.3 Live Chat + WhatsApp Notifications

We provide integration between website chat widgets and WhatsApp Business via Meta's Cloud API. This service is subject to Meta's WhatsApp Business API terms and policies.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access
  • You must be at least 18 years old to create an account
  • One person or entity may not maintain more than one account

4. Acceptable Use

You agree NOT to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, spam, or harmful content
  • Process content that is illegal, defamatory, or violates third-party rights
  • Attempt to reverse engineer, decompile, or hack our systems
  • Use the Services for competing offerings without written consent
  • Exceed reasonable usage limits or abuse API endpoints
  • Impersonate others or misrepresent your affiliation

5. Content Ownership & Licenses

5.1 Your Content

You retain ownership of content you submit (audio files, website content, messages). By using our Services, you grant us a limited license to process this content solely to provide the Services.

5.2 Output

Transcripts, chatbot responses, and other outputs generated by our Services are owned by you, subject to any third-party rights in the underlying content.

5.3 Our Content

All Structyl AI branding, software, documentation, and other materials remain our property. You may not copy, modify, or distribute our materials without permission.

6. Payment Terms

  • Fees are charged according to your selected plan
  • Pay-as-you-go services are billed based on actual usage
  • Subscription fees are billed monthly or annually in advance
  • All fees are non-refundable except where required by law
  • We may change pricing with 30 days notice
  • Overdue payments may result in service suspension

7. Service Availability & Support

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. Support response times vary by plan tier.

For enterprise customers with SLA requirements, specific availability guarantees are outlined in separate service level agreements.

8. Data Processing

Our handling of personal data is governed by our Privacy Policy. For customers processing personal data of EU residents, we can provide a Data Processing Agreement (DPA) upon request.

9. Third-Party Services

Our Services integrate with third-party services including:

  • WhatsApp/Meta: WhatsApp bridge requires compliance with Meta's terms
  • Payment Processors: Payments are processed by third-party providers

We are not responsible for third-party service availability or changes to their terms.

10. Disclaimer of Warranties

SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • Services will be uninterrupted or error-free
  • Transcription or AI responses will be 100% accurate
  • Services will meet your specific requirements
  • Any defects will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRUCTYL AI SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the fees paid by you in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless Structyl AI from claims arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your content or data
  • Your violation of third-party rights

13. Termination

  • You may cancel your account at any time through your dashboard
  • We may suspend or terminate accounts for Terms violations
  • Upon termination, your right to use Services ceases immediately
  • We will delete your data according to our Privacy Policy
  • Sections that by nature should survive termination will survive

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be notified via email or prominent website notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.

15. Governing Law & Disputes

These Terms are governed by the laws of [Jurisdiction]. Any disputes shall be resolved through binding arbitration in accordance with [Arbitration Rules], except for injunctive relief which may be sought in courts of competent jurisdiction.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Structyl AI

  • Assignment: You may not assign these Terms without our consent
